These Terms of Use ("Terms") govern your access to and use of the Website, including the purchase of software and technical manuals in print or PDF format ("Products") via online payment processors such as PayPal or Stripe, as well as the use of free downloadable PDF and document templates ("Free Materials") provided on the Website. By accessing or using the Website, purchasing Products, or downloading Free Materials, you agree to be bound by these Terms. If you do not agree, please do not use the Website, purchase Products, or download Free Materials.
1. Acceptance of Terms
By using the Website, placing an order, or downloading Free Materials, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference. Active Inventories reserves the right to update or modify these Terms at any time, with changes effective upon posting to the Website. Your continued use of the Website, purchase of Products, or downloading of Free Materials following such changes constitutes acceptance of the revised Terms.
2. Use of the Website
2.1. Permitted Use: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website to browse Products, place orders, download purchased Products, and download Free Materials as permitted under these Terms. Free Materials may be used solely for personal or internal business purposes as specified at the point of download.
2.2. Prohibited Use: You may not:
- (a) use the Website, Products, or Free Materials for any unlawful purpose or in violation of applicable laws;
- (b) attempt to gain unauthorized access to any part of the Website, including secured areas, purchased Products, or Free Materials;
- (c) reproduce, duplicate, copy, sell, distribute, or create derivative works from Products, Free Materials, or any other Website content without express written permission from Active Inventories, except as expressly allowed for personal use under Section 3 for Products or as specified for Free Materials;
- (d) use automated systems (e.g., bots, scrapers) to access or extract data, including Products or Free Materials, from the Website;
- (e) interfere with the Website’s functionality, security, or payment processing systems;
- (f) remove, alter, or obscure any copyright, trademark, or other proprietary notices on Products or Free Materials.
3. Purchases and Digital Downloads
3.1. Ordering Products: You may purchase software and technical manuals in print form or as PDF downloads through the Website. All orders are subject to availability and acceptance by Active Inventories. Prices are listed in GBP and exclude shipping costs for print items, which will be calculated at checkout.
3.2. Payment: Payments are processed securely via third-party payment processors such as PayPal or Stripe. By submitting payment, you represent that you are authorized to use the payment method provided and agree to the terms of the respective payment processor. Active Inventories is not responsible for payment processor errors or disputes.
3.3. Digital Downloads: Upon successful payment for PDF Products, you will receive a download link valid for a limited time (e.g., 30 days) and a limited number of downloads (e.g., 3 attempts), after which access expires. You are granted a non-exclusive, non-transferable license to use the PDF for personal or internal business purposes only, and you may not share, resell, or redistribute it.
3.4. Print Products: Print orders will be shipped to the address provided during checkout. Shipping times and costs vary by location and are estimated at checkout. Risk of loss transfers to you upon delivery.
3.5. Refunds: Active Inventories will process refunds for Products purchased through the Website strictly in accordance with the requirements of applicable United Kingdom law as in effect at the time of your purchase. Our refund obligations are limited to those mandated by such laws, and we reserve the right to deny refund requests where no legal entitlement exists.
- Digital Products (PDF Downloads): Once a PDF file has been accessed or downloaded following successful payment, no refund will be issued unless explicitly required by UK law. Under the Consumer Contracts Regulations 2013 (as amended), you waive your statutory 14-day cancellation right for digital content upon commencing the download, provided you have been informed of and consented to this waiver at the point of purchase. We will ensure such notice and consent are obtained during checkout. Refunds for digital Products will only be granted if legally mandated, such as in cases of faulty or misdescribed content not rectified by replacement.
- Print Products: For physical Products (e.g., printed manuals or software), you may be entitled to a refund under UK law, such as the 14-day cancellation period for distance sales under the Consumer Contracts Regulations 2013 (as amended), provided you notify us within 14 days of receipt and return the Product unused, in its original condition, and at your expense, unless the Product is faulty, misdescribed, or otherwise non-compliant with the Consumer Rights Act 2015. Refunds will include the purchase price (excluding original shipping costs) and will be processed only if and to the extent required by law at the time of purchase. No discretionary refunds will be offered beyond legal requirements.
- Faulty or Non-Conforming Products: If a Product (digital or print) is faulty, not as described, or fails to meet statutory quality standards under the Consumer Rights Act 2015 (as amended), you may be entitled to a refund, repair, or replacement as mandated by law. We will assess such claims on a case-by-case basis and provide a remedy only where legally obligated. For digital Products, this may include providing a corrected file; for print Products, this may involve replacement or refund if replacement is not feasible, strictly per legal requirements.
- Process and Conditions: To request a refund, use the contact details provided in the footer within the applicable legal timeframe (e.g., 14 days for print cancellations, 30 days for faulty goods claims under the Consumer Rights Act). You must provide proof of purchase and, for print returns, ship the Product back at your cost unless UK law requires us to cover return shipping (e.g., for faulty items). Refunds will be issued to the original payment method via PayPal, Stripe, or other processor used, and only for the amount legally due.
- No Discretionary Refunds: Active Inventories does not offer refunds beyond what is strictly required by UK law at the time of purchase. Requests based on change of mind, dissatisfaction, or other non-legal grounds will be denied unless mandated by statute or regulation.
- Changes in Law: This refund policy will automatically conform to any changes in UK law affecting consumer rights or distance selling obligations as they apply at the time of your purchase. We will not retroactively apply future legal changes to prior purchases unless required by law.
4. Intellectual Property
All content on the Website, including Products and Free Materials such as software, manuals, PDFs, document templates, text, graphics, and logos, is the property of Active Inventories or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted under Section 3.3 for purchased PDFs or as specified for Free Materials at the point of download, you may not reproduce, distribute, modify, or create derivative works from any content, Products, or Free Materials without prior written consent from Active Inventories. Free Materials are provided for personal or internal business use only as indicated, and any commercial redistribution, sale, or unauthorized use is strictly prohibited.
5. Disclaimer of Warranties
The Website, Products, and Free Materials are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Active Inventories does not guarantee that the Website will be uninterrupted, error-free, or that Products or Free Materials will meet your expectations. Downloadable PDFs (whether purchased or free) are provided without warranty of accuracy or completeness, and print Products may contain minor printing errors not affecting usability. Your use of the Website, Products, and Free Materials is at your own risk.
6. Limitation of Liability
To the fullest extent permitted by law, Active Inventories, its affiliates, officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Website, Products, or Free Materials, including but not limited to loss of data, profits, or business opportunities, even if advised of the possibility of such damages. Our total liability for any claim related to Products shall not exceed the amount you paid for the Product giving rise to the claim. 7. User Content
If you submit content to the Website (e.g., order details, inquiries), you grant Active Inventories a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, and process such content for purposes related to fulfilling orders and operating the Website. You represent that any content you submit does not infringe on third-party rights or violate applicable laws.
8. Termination
Active Inventories may suspend or terminate your access to the Website, ability to purchase Products, or ability to download Free Materials at any time, without notice, for any reason, including if we believe you have violated these Terms or engaged in fraudulent activity. Upon termination, your right to use the Website ceases, but licenses to downloaded Products or Free Materials remain subject to Sections 3.3 and 4, respectively, and all provisions of these Terms that by their nature should survive (e.g., ownership, liability) will remain in effect.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
